Recent Developments in Private Equity Transactional Markets

The structure and terms of private equity buyouts are continually influenced by monetary policy, regulatory changes, public perception of buyout firms, and competition between funds. This panel will investigate recent changes in purchase terms, tax regulations, and transaction structures, along with the broader issues forcing these developments. It will also identify possible trends for deals in the coming year. The panel will be moderated by Stephen Ritchie, a Kirkland & Ellis partner with deep expertise in structuring, negotiating and managing the legal aspects of mergers, acquisitions, leveraged buyouts, and recapitalizations. Ritchie will be joined by a panel of industry leading professionals.

Stephen Ritchie is a partner in the Chicago office of Kirkland & Ellis. He serves on the firm's 15-member Global Management Committee, is chairman of the Nonshare Partner and Associate Compensation Committee, and serves on the Administrative Committee. Ritchie's practice is concentrated in the areas of complex business transactions, with a particular focus on structuring, negotiating, and managing the legal aspects of mergers, acquisitions, leveraged buyouts, recapitalizations, venture capital, and growth equity investments, restructurings, and workouts. He has also served as lead counsel in the representation of numerous portfolio companies of private equity funds.

Ritchie has been named one of America's Leading Lawyers for Business in Corporate/M&A/Private Equity by Chambers USA every year since 2006. He has also been listed in The Best Lawyers in America every year since 2007 and as one of Illinois' Super Lawyers each year since 2005. Ritchie has handled many private equity, LBO, venture capital, and M&A transactions for GTCR, CHS Capital, Chicago Growth Partners, Evergreen Pacific Partners, William Blair Capital Partners, Wind Point Partners, and others.

Mark G. Brady is global head of mergers & acquisitions at William Blair & Company, where he has been an investment banker since 1991. He was named a partner of the firm in 1996.

During his time at William Blair & Company, Brady has successfully completed more than 150 acquisition and financing transactions with companies domiciled in 12 countries. His recent transactions include the sale of National Powersport Auctions to Bank of America Merrill Lynch, the sale of Block Heavy and Highway to Dayton Superior Corporation, the sale of National Envelope to Gores Group, and the sale of Wrigley to Mars. He was named 2008 Middle Market Investment Banker of the Year by Investment Dealer's Digest (IDD).

Brady graduated Phi Beta Kappa from Northwestern University and received an MBA in Finance and Accounting from Chicago Booth.

Nathan Brown joined Wind Point Partners in 1997 and was promoted to managing director in 2004. He is currently a director of Citadel Plastics, Marshfield DoorSystems, RailWorks, and Taylor-Wharton International.

Prior to joining Wind Point, Brown was an analyst with the Corporate Finance and Mergers & Acquisitions departments of ScotiaMcLeod (now Scotia Capital Markets), a leading Canadian investment bank.

Brown holds a BA with distinction in philosophy from Queen's University and an MBA with honors from Chicago Booth.

Dean Mihas currently serves as a principal at GTCR, a leading private equity firm based in Chicago. Founded in 1980, GTCR has invested more than eight billion dollars in over 200 companies. Mihas primarily spends his time managing the firm's investments in the healthcare and financial services and technology industries.

Prior to GTCR, Mihas was CEO and co-founder of Delray Farms, LLC, a specialty food retailer, where he led the company's growth from start-up to a 20-store retail chain with over 125 million dollars in revenue. Prior to Delray Farms, he was with McKinsey & Company.

Mihas is currently a director of Actient Pharmaceuticals, ATI Physical Therapy, BNY ConvergEx Group, Devicor Medical Products, and Graceway Pharmaceuticals. He was previously a director of Ovation Pharmaceuticals, Managed Healthcare Associates, CompBenefits, and Polypore.

Mihas earned an MBA with distinction from the Harvard Graduate School of Business and a BS with high distinction in both finance and economics from the University of Illinois, Chicago. He serves as a board member of WBEZ - Chicago Public Radio.
